TradeWeb Design operates as part of TradeOp Technologies Ltd.

2. Service Obligation

TradeWeb Design will use reasonable endeavours to provide a prompt and continuous service in accordance with agreed specifications. We shall not be liable for loss of data, delays, or service interruptions caused by circumstances beyond our reasonable control, third-party providers, or errors or omissions by the client.

We make no warranties regarding the accuracy of third-party information received through our services.

3. Limitation of Liability

To the fullest extent permitted by UK law, TradeWeb Design shall not be liable for any indirect, economic, incidental, or consequential loss including loss of profits, revenue, data, or business.

Our total liability in contract or otherwise shall be limited to the total fees paid by the client for the relevant service giving rise to the claim.

4. Fees, Payments & Refunds

All services are provided on a business-to-business basis. All fees paid are non-refundable. Where staged payments are agreed, failure to provide required materials or approvals within agreed timeframes may result in the remaining balance becoming immediately payable.

Any chargebacks or payment reversals will be treated as non-payment and may result in suspension or termination of services.

5. Contract Term & Renewal

Services are provided for the contract term specified at the time of purchase, typically 12 months. Recurring services renew annually unless cancelled in writing with at least 14 days’ notice prior to the renewal date. Verbal or informal cancellations will not be accepted.

6. Client Responsibilities

Clients are responsible for providing accurate information, content, and approvals. TradeWeb Design is not liable for delays caused by incomplete or late client input.

7. Acceptable Use

Clients must not use our services for unlawful purposes, including transmitting material that is defamatory, obscene, offensive, infringing intellectual property rights, or in breach of confidence. Spamming, bulk email abuse, or malicious activity is strictly prohibited.

8. Security & Access

Clients are responsible for keeping login credentials secure. TradeWeb Design must be notified immediately if access details are compromised.

9. Third-Party Platforms & Services

Where services integrate with or refer to third-party platforms including TradeOps or TradeSpring, TradeWeb Design is not responsible for the availability, performance, or terms of those platforms.

10. Intellectual Property

All intellectual property created by TradeWeb Design remains our property until full payment is received. Upon full payment, clients are granted a licence to use the work for its intended purpose. TradeWeb Design retains the right to reuse design elements and non-confidential concepts.

11. Hosting, Data & Backups

While we take reasonable steps to maintain hosting and backups, clients remain responsible for maintaining their own copies of data. We do not guarantee uninterrupted availability.

12. Termination

TradeWeb Design reserves the right to suspend or terminate services for non-payment, breach of these Terms, or unlawful use. Outstanding balances remain payable upon termination.

13. Force Majeure

We shall not be liable for failure to perform obligations due to events beyond our reasonable control, including but not limited to natural disasters, power failures, or acts of government.

14. Governing Law & Jurisdiction

These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to These Terms

TradeWeb Design reserves the right to update these Terms at any time. Continued use of our services constitutes acceptance of the updated Terms.
